AERHUB INC. TERMS AND CONDITIONS

Effective Date: February 1, 2026

These Terms and Conditions ("Terms") constitute a legally binding agreement between you and Aerhub, Inc. ("Aerhub," "we," "us," or "our") governing your access to and use of the Aerway mobile application, The Aerpod podcast, and all related services, platforms, and features (collectively, the "Platform"). By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.

1. ACCEPTANCE AND ELIGIBILITY

By creating an Account or using the Platform, you represent and warrant that:

·      You are at least 16 years of age.

·      You have the legal capacity to enter into these Terms.

·      All information you provide is accurate, current, and complete.

·      Your use of the Platform will comply with these Terms and all applicable laws and regulations.

2. DEFINITIONS

For purposes of these Terms:

·      "Account" means your registered user profile on the Platform.

·      "Content" means all text, images, audio, video, data, and other materials uploaded, posted, or transmitted through the Platform.

·      "Space" means a community area created by users within Aerway for professional networking and collaboration.

·      "Pro Space" means a monetized Space that charges subscription fees for access or premium features.

·      "Space Admin" means a user who creates and manages a Space, including Pro Space administrators.

3. USER ACCOUNTS

3.1 Account Creation

You must create an Account to access certain features of the Platform. You agree to provide truthful, accurate, and complete information during registration and to maintain and update such information, as necessary.

3.2 Account Security

You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your Account. You must immediately notify Aerhub of any unauthorized access or security breach. Aerhub is not liable for losses arising from your unauthorized use of your Account.

3.3 Account Suspension and Termination

Aerhub reserves the right to suspend or terminate your Account at any time, with or without notice, for:

·      Violation of these Terms or any applicable policies

·      Violation of any applicable laws or regulations

·      Suspected fraudulent, abusive, or illegal activity

·      Extended periods of inactivity

·      Upon request by law enforcement or any governmental authorities

3.4 Identity and Credential Verification (Paid Users Only)

Certain paid features, such as verified badges, are available only to users who complete our identity and credential verification process (“Verification”). Verification may include confirming your identity and your aviation-related credentials, such as your Federal Aviation Administration (“FAA”) license number, against FAA or other relevant databases.

Aerhub uses third‑party providers (currently including Persona Identities, Inc. and its affiliates) to perform some or all elements of Verification. By using the applicable paid features, you authorize Aerhub and its Verification providers to collect, use, and process information you submit for Verification purposes, and to obtain related information from the FAA or other credentialing authorities, as described in Aerhub’s Privacy Policy.

As part of the Verification, as a paid user You agree to provide accurate, current, and complete information for Verification and to promptly update Aerhub if any such information changes, is suspended, or is revoked.  Aerhub may suspend, limit, or terminate access to a paid user for certain features if they do not complete Verification, if Verification cannot be completed, or if Aerhub reasonably believes the information provided by a paid user is inaccurate, incomplete, or misleading.

Verification is conducted solely for Aerhub’s internal eligibility, safety, and compliance purposes and does not constitute an endorsement, certification, or guarantee of any paid user’s qualifications or compliance with the law. Each paid user remains solely responsible for complying with all applicable aviation laws, regulations, and FAA requirements. 

4. CONTENT AND INTELLECTUAL PROPERTY

4.1 User Content Ownership

You retain ownership of all Content you upload or post on the Platform. However, by submitting Content, you grant Aerhub a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to use, reproduce, modify, adapt, publish, display, distribute, broadcast, and create derivative works from your Content for purposes of operating, promoting, and improving the Platform.

4.2 Platform Intellectual Property

The Platform, including all software, design, text, graphics, logos, and other materials, is solely owned by either Aerhub or its licensors and is protected by copyright, trademark, patent, and other intellectual property laws. You may not copy, modify, distribute, sell, broadcast, or create derivative works from any portion of the Platform without express written permission from Aerhub.

4.3 Content Removal

While you may delete your Content at any time through your Account settings, Aerhub may retain cached, archived, or backup copies for a reasonable period. Aerhub reserves the right to remove any Content that violates these Terms or any applicable law.

5. SPACES ADMINISTRATION

5.1 Space Admin Responsibilities

Space Admins are solely responsible for:

·      All Content posted within their Space, whether by the Space Admin or Space members

·      Moderating Space member conduct and enforcing Space rules

·      Compliance with these Terms, Community Rules, and Acceptable Use Policy (See Aerway Community Rules and Aerway Acceptable Use Policy)

·      Managing Space member access, permissions, and subscription billing (for Pro Spaces)

·      Responding to Space member complaints and resolving disputes

5.2 Pro Space Requirements

Pro Space Admins must additionally comply with the Transaction Terms and are responsible for:

·      Accurate representation of subscription benefits and pricing

·      Delivering promised content and features to paying subscribers

·      Assisting with refund requests in accordance with Aerhub's policy 

·      Maintaining tax compliance and reporting income as required by law

·      All legal obligations arising from the commercial operation of their Pro Space

5.3 Space Removal and Enforcement

Aerhub reserves the right to remove, suspend, or restrict any Space that violates these Terms or creates legal, reputational, or safety risks. Space Admins will be notified when commercially reasonable, but Aerhub is not obligated to provide advance notice of removal in cases involving severe violations.

6. PROHIBITED CONDUCT

You agree not to:

·      Violate these Terms

·      Violate any applicable laws, regulations, or third-party rights

·      Impersonate any person or entity, or falsely represent your affiliation with any person or organization

·      Upload malware, viruses, or any code designed to disrupt or damage the Platform

·      Engage in scraping, data mining, or automated data collection without authorization

·      Attempt to gain unauthorized access to the Platform, other user accounts, or Aerhub systems

·      Harass, threaten, intimidate, or abuse other users

·      Post Content that is defamatory, obscene, pornographic, or otherwise objectionable

·      Interfere with or disrupt the operation of the Platform or servers

·      Use the Platform for any commercial purpose without authorization

7. DISCLAIMERS AND LIMITATION OF LIABILITY

7.1 Platform Provided "As Is"

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. AERHUB DOES NOT GUARANTEE THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

7.2 User Content Disclaimer

Aerhub does not endorse, support, verify, or guarantee the accuracy, completeness, or reliability of any user-generated Content. You acknowledge that reliance on any user generated Content is at your own risk. Aerhub is not responsible for disputes between users or between Space Admins and their members.

7.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AERHUB SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF AERHUB HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL AERHUB'S TOTAL LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO AERHUB IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

8. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Aerhub, Inc., its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

·      Your use of the Platform

·      Your Content

·      Your violation of these Terms

·      Your violation of any third-party rights

·      Your operation of a Space or Pro Space, including disputes with members

9. DISPUTE RESOLUTION AND ARBITRATION

9.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, United States, without regard to its conflict of law principles.

9.2 Arbitration Agreement

Any dispute, claim, or controversy between you and Aerhub arising out of or relating to these Terms or your use of the Platform shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in Phoenix, Arizona, or remotely via videoconference. Judgment on the arbitration award may be entered in any competent court having jurisdiction.

9.3 Class Action Waiver

YOU AGREE THAT ANY ARBITRATION OR PROCEEDING SHALL BE LIMITED TO THE DISPUTE BETWEEN YOU AND AERHUB INDIVIDUALLY. TO THE FULLEST EXTENT PERMITTED BY LAW, (A) NO ARBITRATION OR PROCEEDING SHALL BE JOINED WITH ANY OTHER, (B) THERE IS NO RIGHT OR AUTHORITY FOR ANY DISPUTE TO BE ARBITRATED ON A CLASS-ACTION BASIS OR TO UTILIZE CLASS-ACTION PROCEDURES, AND (C) THERE IS NO RIGHT OR AUTHORITY FOR ANY DISPUTE TO BE BROUGHT IN A PURPORTED REPRESENTATIVE CAPACITY ON BEHALF OF THE GENERAL PUBLIC OR ANY OTHER PERSONS.

9.4 User Disputes

As further described in Section 7.2, disputes solely between users—including disputes between Space Admins and Subscribers regarding Pro Spaces, Content, or payments—are matters between those users. These Terms do not create any arbitration agreement, joint venture, or other legal relationship between users, and nothing in this Section 9 requires Aerhub to participate in or administer the resolution of disputes to which Aerhub is not a party.

10. MODIFICATIONS TO TERMS

Aerhub reserves the right to modify these Terms at any time. Aerhub will provide notice of material changes by posting the updated Terms on the Platform and updating the "Effective Date" above. Changes will be communicated thirty (30) days before taking effect.  Your continued use of the Platform after such changes constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must discontinue use of the Platform.

11. GENERAL PROVISIONS

11.1 Entire Agreement

These Terms, together with the Privacy Policy, Community Guidelines, Acceptable Use Policy, Monetization Agreement (where applicable), DMCA Copyright Policy, and Export Control and Data Retention Addendum, constitute the entire agreement between you and Aerhub regarding the Platform.  These Terms supersede any previous written or oral communications, discussions or promises.

11.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, United States, without regard to its conflict of law principles.

11.3 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

11.4 No Waiver

Aerhub's failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision or any other right or provision of these Terms.

11.5 Assignment

You may not assign or transfer these Terms or your Account without Aerhub's prior written consent. Aerhub may assign these Terms at any time without notice.

11.6 Electronic Communications

For contractual purposes, you (1) consent to receive communications from Aerhub in an electronic form; and (2) agree that all terms and conditions, agreements, notices, disclosures, and other communications that Aerhub provides to you electronically satisfy any legal requirement that such communications would satisfy if they were in writing.
