Pro Spaces Monetization Agreement


Effective Date: Feb 1, 2026

 

1. PROGRAM OVERVIEW

1.1 Eligibility

To monetize a Pro Space, You (“Pro Pro Space Admin” or “You” or “Your”) must:

•       Be a verified Pro Pro Space Admin in good standing

•       Provide Aerhub valid tax information (W-9)

•       Comply with all Aerhub/Aerway Policy Requirements

•       Have a valid payment method on file

•       Accept Stripe's Connected Account Agreement as part of the Stripe Express onboarding process

 

Aerhub may approve or deny monetization applications at its sole discretion.

 

1.2 Stripe Express Account Requirement

Pro Space monetization is powered by Stripe Connect. Upon approval, You will be required to create and maintain a Stripe Express Account. By doing so, You agree to comply with Stripe's Connected Account Agreement and Stripe's Services Agreement. As a Stripe Express Account holder:

•       Aerhub acts as the platform and merchant of record for all transactions

•       You receive payouts directly from Stripe to Your connected bank account per the schedule in Section 2

•       You cannot issue refunds directly from Your Stripe Express dashboard — all refunds are initiated and managed by Aerhub on Your behalf

•       Chargebacks and disputes are managed through Aerhub's Stripe platform processes with Your cooperation as required

•       You are subject to Stripe's identity verification and compliance requirements

 

1.3 Revenue Split

Pro Pro Space Admin receives: 80%

Aerhub/Aerway retains: 20%

Platform fees are deducted before the revenue split is calculated. These Platform fees cover payment processing and platform costs. 

 

2. PAYMENT TERMS

2.1 Payment Schedule

•       Frequency: Payment is Monthly, within 30 days after month end

•       Minimum payout: $50.00 USD

•       Earnings below minimum: If earnings are below the minimum payout of $50.00 USD then they roll over to following month

•       Payment method: Automated Clearing House (ACH) bank transfer (US) or similar transaction via Stripe

 

2.2 Rolling Reserve Policy

To protect against refunds, chargebacks, and payment disputes, Aerhub maintains a rolling reserve on all Pro Space monetization earnings. By accepting these Terms, You acknowledge and agree to the following Aerhub reserve structure:

 

•       Reserve amount: Up to 20% of monthly gross earnings per payout period

•       Reserve hold period: 60 days from the date of each underlying transaction

•       Reserve release: Unused reserve balances are released and paid out at the end of each applicable 60-day hold period

•       Reserve adjustment: Aerhub may adjust reserve percentages or hold periods based on Your account risk profile, transaction volume, refund/chargeback history, or platform risk assessments. You will be notified of material changes with at least 7 days' advance written notice where practicable

 

WHY THIS EXISTS

As the platform facilitating payments via Stripe Connect, Aerhub is ultimately responsible for covering negative balances caused by refunds and chargebacks. The rolling reserve ensures Aerhub can fulfill these obligations without disruption to Pro Subscriber payouts.

 

2.3 Payment Delays and Holds

•       Aerhub may delay or hold payment for up to 90 days to investigate suspected fraud, policy violations, or unusual account activity

•       Aerhub may place an immediate hold on payouts if Your refund or chargeback rate exceeds thresholds defined in Section 2.5, below

•       Payment holds will be communicated to You via email with a stated reason and estimated resolution timeline

 

2.4 Refund Policy and Process

Because Aerhub is the merchant of record for all Pro Space transactions, all refunds are initiated and processed by Aerhub. You cannot issue refunds directly. The following refund policy applies:

 

•       7-day full refund: Members who have not accessed any Pro Space content within 7 days of subscription start are entitled to a full refund upon request

•       Prorated refund: Refund requests submitted after 7 days but before 30 days may receive a prorated refund at Aerhub's sole discretion, minus a $2.00 processing fee

•       No refund: No refund will be issued after 30 days, or for Members or Subscribers who have been removed or banned for policy violations

•       Pro Space Admin closure: If you voluntarily close a Pro Space, active Members or Subscribers will receive a prorated refund for their remaining subscription period. These amounts will be deducted from Pro Subscriber’s earned balance or reserve

 

All refund amounts, including processing fees incurred by Aerhub in connection with issuing the refund, will be deducted from Pro Pro Space Admin’s current earnings balance, upcoming payout, or rolling reserve. If a Pro Pro Space Admin’s balance is insufficient to cover the refund, Aerhub may recover the shortfall from future earnings.

 

Member or Subscriber refund requests should be submitted to help@aerhub.com. Aerhub will evaluate each request in accordance with this policy and notify the Pro Pro Space Admin of the outcome. Aerhub's refund decisions are final.

 

2.5 Chargeback Handling and Liability

A chargeback occurs when a Member or Subscriber disputes a charge directly with their bank or card issuer. As the Stripe Express platform, Aerhub manages the chargeback process on behalf of all Pro Pro Space Admins. You acknowledge and agree to the following:

 

•       Notification: Aerhub will notify You promptly when a chargeback is filed against a transaction associated with Your Pro Space

•       Evidence submission: You may be asked to provide supporting evidence (e.g., proof of content delivery, access logs, communications) within the timeframe specified by Stripe and card network rules, typically 7-10 business days

•       Financial responsibility: The disputed amount, plus any associated chargeback fees charged by Stripe (typically $15.00 per dispute), will be deducted from Your earnings balance, upcoming payout, or rolling reserve

•       Negative balance recovery: If Your Stripe Express account balance is insufficient to cover a chargeback, Aerhub may recover the full amount from Your future earnings, reserve, or through other lawful means

•       Platform liability: You acknowledge that Aerhub, as the platform, may be required by Stripe to cover your negative balance. In such cases, You agree that Aerhub has the right to recover those funds from You

 

Suspension Trigger

Your monetization access may be immediately suspended if either of the following occur, in any rolling 30-day period:

•       Your refund rate exceeds 5% of total transactions, or

•       Your chargeback rate exceeds 1% of total transactions (in line with card network thresholds)

 

Suspension will be communicated via email. You may appeal by contacting support@aerhub.com with documentation demonstrating the circumstances and basis for your appeal.  Aerhub’s determination on appeal is final.

 

3. TAXES & REPORTING

3.1 Tax Status

You are an independent contractor, not an Aerhub employee. You are solely responsible for all taxes on Your earnings including income tax, self-employment tax, and applicable state and local taxes.

 

3.2 Tax Reporting

US Pro Space Admins earning $600 or more in a calendar year: IRS Form 1099 will be issued

 

Stripe may also issue tax documentation directly to You as a Stripe Express Account holder, including Form 1099-K where applicable. You are responsible for reconciling any documentation received from both Aerhub and Stripe.

 

3.3 Tax Withholding

Aerhub may withhold taxes as required by applicable law. To minimize withholding, provide accurate and complete tax documentation (W-9) during onboarding. Failure to provide required documentation may result in backup withholding or payout suspension.

 

4. CONTENT & INTELLECTUAL PROPERTY

4.1 Your Rights

You retain all intellectual property rights to your Pro Space content. By posting content, you grant Aerhub a non-exclusive, worldwide, royalty-free license to host, store, broadcast, and distribute your content solely as necessary to operate the platform and deliver it to subscribed members.

 

4.2 Member Rights

Paying Members receive a limited, non-exclusive, non-transferable license to access and view Your content for personal use only. Members acquire no ownership rights in Your content.

 

4.3 Prohibited Content

You may not post content that:

•       Infringes third-party intellectual property rights

•       Violates Aerhub's Community Guidelines or Terms of Service

•       Contains illegal material or promotes illegal activity

•       Includes personal information of others without their consent

•       Violates applicable aviation regulations or safety standards

•       Could expose Aerhub or its payment processor to regulatory or reputational risk

5. REFUNDS, DISPUTES & CHARGEBACKS

5.1 Platform Role

Aerhub is the merchant of record for all Pro Space subscription transactions. This means Aerhub initiates, processes, and is financially responsible for all refunds and manages all chargeback proceedings on behalf of Pro Space Admins operating Stripe Express Accounts. Pro Space Admins cannot independently process refunds or respond to chargebacks through the Stripe Express dashboard without Aerhub's involvement.

 

5.2 Member Refund Requests

Members seeking a refund should submit their request to help@aerhub.com. While members may first contact their Pro Space Admin directly, Aerhub retains final authority over all refund decisions. The refund policy in Section 2.4 governs all refund outcomes.

 

Aerhub will investigate refund requests and may issue refunds unilaterally when warranted under this policy. Refund amounts will be recovered from the Pro Space Admin's balance, reserve, or future payouts as described in Section 2.4.

 

5.3 Dispute Escalation Process

If a Member has an unresolved dispute with a Pro Space Admin regarding content delivery, service quality, or access issues, the following escalation path applies toward resolving the dispute:

 

•       Step 1: Member contacts Pro Space Admin directly via platform messaging

•       Step 2: If unresolved within 7 business days, member contacts Aerhub at help@aerhub.com

•       Step 3: Aerhub investigates and determines resolution, including whether a refund is warranted

•       Step 4: Aerhub communicates outcome to both parties

 

Aerhub may suspend or terminate Pro Spaces with patterns of unresolved complaints, excessive refunds, high chargeback rates, or evidence of fraudulent or deceptive practices.

 

5.4 Chargeback Process

Filing a chargeback with a bank or card issuer should be a last resort, pursued only after attempting resolution through the process described in Section 5.3, above. When a chargeback is filed:

 

•       Aerhub manages the dispute response with Stripe and the relevant card network

•       Pro Space Admins will be notified and may be asked to provide evidence within specified deadlines

•       Disputed amounts and fees are addressed in Section 2.5, above

•       Legitimate chargebacks (e.g., unauthorized charges, billing errors) will not result in penalties to the Member

•       Fraudulent or abusive chargebacks may result in Member account termination and recovery actions

 

6. TERMINATION

6.1 Termination by You

•       Cancel monetization at any time by closing Your Pro Space or converting it to a non-monetized Space

•       Active Member subscriptions will be cancelled and prorated refunds issued per Section 2.4

•       Earned revenue, less any reserves and outstanding deductions, will be paid per the payment schedule in Section 2.1

 

6.2 Termination by Aerhub

Aerhub may immediately suspend or terminate Your monetization access for:

•       Violations of Aerhub’s Terms and Conditions, Acceptable Use Policy, Privacy Policy or Community Rules

•       Fraudulent activity or platform manipulation

•       Refund rate exceeding 5% or chargeback rate exceeding 1% in any 30-day period

•       Failure to provide required tax documentation or Stripe Express onboarding information

•       Legal action, regulatory inquiry, or law enforcement requests related to Your Pro Space

•       Stripe account suspension, termination, or compliance failure

 

Effect of termination:

•       Active Member subscriptions cancelled; applicable refunds issued

•       Earned revenue paid within 90 days of termination, less outstanding reserves and deductions

•       Rolling reserve held for full 90-day period post-termination before release

•       No entitlement to future earnings from cancelled subscriptions

 

7. MODIFICATIONS TO TERMS

Aerhub may modify these Terms at any time with 30 days' notice via email and in-app notification. Continued use of the monetization program after the effective date of changes constitutes acceptance of the updated Terms.

 

Revenue Split Changes

•       Changes to the revenue split do not apply to existing active subscriptions until their next renewal date

•       Revenue split changes require 30 days' advance notice to all parties

 

Reserve and Payment Policy Changes

•       Changes to reserve percentages, hold periods, or payout schedules require 7 days' advance notice

•       Changes required by Stripe, card networks, or applicable law may take effect immediately with notice provided as soon as practicable

 

8. DISPUTE RESOLUTION & LIABILITY

8.1 Arbitration

Disputes between Aerhub and Pro Space Admins arising from these Terms will be resolved through binding arbitration under American Arbitration Association rules, conducted in Phoenix, Arizona, and governed by the laws of the State of Arizona.

 

8.2 Limitation of Liability

Aerhub's total liability for claims arising from these Monetization Terms is limited to the greater of the (a) total amount paid to You in the preceding 12 months or (b) $100. This limitation does not apply to Aerhub's right to recover funds owed by you for refunds, chargebacks, or negative balances.

 

AERHUB PROVIDES THE PRO SPACE MONETIZATION PROGRAM "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. AERHUB DOES NOT GUARANTEE EARNINGS, SUBSCRIBER COUNTS, ENGAGEMENT LEVELS, OR PLATFORM UPTIME. STRIPE'S PROCESSING OF PAYMENTS IS SUBJECT TO STRIPE'S OWN TERMS AND AERHUB MAKES NO WARRANTIES REGARDING STRIPE'S SERVICES.
