Pro Space Participation
PRO SPACE SUBSCRIBER TERMS
Effective Date: February 1, 2026
These Pro Space Subscriber Terms ("Subscriber Terms") govern Your subscription to and participation in monetized Spaces ("Pro Spaces") on the Aerway platform operated by Aerhub, Inc. ("Aerhub," "we," "us," or "our"). By subscribing to a Pro Space, You (“Subscriber” or “You” or “Your”) agree to these Subscriber Terms in addition to Aerhub's Terms and Conditions, Privacy Policy, Community Rules, and Acceptable Use Policy.
1. SUBSCRIPTION RELATIONSHIP
When You subscribe to a Pro Space:
· You enter into a subscription agreement with the Pro Space Admin (the individual or entity operating the Pro Space)
· You also agree to abide by Aerhub's Platform policies
· Your subscription and any associated Content are subject to Aerhub’s Acceptable Use Policy and monetization restrictions. Some Content that is permitted to appear on the Platform for non-commercial purposes may nonetheless be ineligible for Pro Space monetization under Aerhub policies, card network rules, payment processor requirements, or applicable law.
· Aerhub facilitates payment processing but is not a party to the subscription agreement between You and the Space Admin
· The Pro Space Admin is solely responsible for delivering the content, services, and benefits to subscribers
2. THREE-PARTY RELATIONSHIP
2.1 Pro Space Admin Responsibilities
The Pro Space Admin is responsible for:
· Creating and delivering all Pro Space content and features
· Accurately describing subscription benefits and pricing
· Moderating the Pro Space and enforcing Space-specific rules
· Responding to subscriber support inquiries
· Assisting Aerhub with refund requests
2.2 Aerhub Responsibilities
Aerhub is only responsible for:
· Providing the Platform infrastructure and features
· Processing subscription payments, refunds, chargebacks through third parties Apple, Google, and/or Stripe
· Enforcing Platform-wide policies
· Facilitating communication between subscribers and Pro Space Admins
2.3 Your Responsibilities
As a subscriber, You are responsible for:
· Providing accurate payment information
· Complying with Space-specific rules established by the Pro Space Admin
· Following all Platform policies
· Respecting intellectual property rights of the Pro Space Admin and other members
3. SUBSCRIPTION FEES AND BILLING
· Subscription fees are set by the Pro Space Admin, not Aerhub
· You will be charged the subscription fee on a recurring basis (monthly)
· Payments are processed through 3rd party providers; Aerhub does not store Your complete payment information
· You authorize recurring charges until You cancel Your subscription
· Subscription fees are non-refundable except as required by law or Aerhub's refund policy
· The Pro Space Admin may change subscription prices with 30 days' notice; You may cancel before the increase takes effect
4. CANCELLATION
· You may cancel Your Pro Space subscription at any time through Your account settings
· Cancellations take effect at the end of Your current billing period
· You retain access to the Pro Space until the end of Your paid period
· No 5.1 s are provided for partial billing periods unless required by the Aerhub refund policy or applicable law
· Upon effective date of cancellation, You will lose access to subscriber-only content and features
5. REFUNDS AND DISPUTES
5.1 Refund Requests
Refund requests should be directed to the Pro Space Admin and Aerhub
The following refund policy applies:
• 7-day full refund: Members who have not accessed any Pro Space content within 7 days of subscription start are entitled to a full refund upon request
• Prorated refund: Refund requests submitted after 7 days but before 30 days may receive a prorated refund at Aerhub's sole discretion, minus a $2.00 processing fee
• No refund: No refund will be issued after 30 days, or for Members or Subscribers who have been removed or banned for policy violations
Pro Space Admin closure: If you voluntarily close a Pro Space, active Members or Subscribers will receive a prorated refund for their remaining subscription period
Members seeking a refund should submit their request to help@aerhub.com. While members may first contact their Pro Space Admin directly, Aerhub retains final authority over all refund decisions. Aerhub will investigate refund requests and may issue refunds unilaterally when warranted under this policy.
5.2 Dispute Resolution
For disputes with a Pro Space Admin regarding content delivery, service quality, or refunds:
· First, contact the Pro Space Admin directly to via platform messaging
· If unresolved within 7 business days, You may contact Aerhub support at help@aerhub.com
· Aerhub will investigate and determine resolution, including whether a refund is warranted
· Aerhub will communicate outcome to both parties
5.3 Chargebacks
Filing a chargeback should be a last resort after attempting to resolve disputes directly with the Pro Space Admin
Fraudulent or abusive chargebacks may result in account termination
Legitimate chargebacks (e.g., unauthorized charges) will not result in penalties
Aerhub manages the dispute with payment processors (Stripe) and parties involved
6. CONTENT ACCESS AND OWNERSHIP
· Pro Space content is owned by the Pro Space Admin or licensed to them
· Your subscription grants You a limited, non-exclusive, non-transferable sublicense to access content during Your subscription period
· You may not copy, reproduce, distribute, broadcast, or resell Pro Space content without the Pro Space Admin's written permission
· You may not and should not share Your subscription credentials with others
· Upon subscription cancellation or termination, You lose access to all subscriber content
7. PRO SPACE ADMIN CHANGES
Pro Space Admins may:
· Modify Pro Space content, features, or benefits with reasonable notice
· Increase prices with 30 days' notice (You may cancel before the increase)
· Close the Pro Space with 30 days' notice and pro-rata refunds
If a Pro Space Admin materially reduces benefits without offering refunds, contact Aerhub support.
8. TERMINATION
Your subscription may be terminated if:
· You cancel through Your account settings
· Your payment method fails and is not updated within 7 days
· You violate the Pro Space Admin's rules (no refund)
· You violate Aerhub's Platform policies (no refund)
· The Pro Space Admin closes the Pro Space (pro-rata refund provided)
· Aerhub terminates the Pro Space for policy violations ( at Aerhub's discretion)
9. DISCLAIMERS
AERHUB DOES NOT GUARANTEE OR WARRANT:
· The quality, accuracy, or completeness of Pro Space content
· That Pro Space Admins will deliver promised content or services
· That Pro Spaces will remain available or unchanged
· Any specific outcomes or results from Pro Space participation
PRO SPACE SUBSCRIPTIONS ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND.
10. LIMITATION OF LIABILITY
Aerhub's liability to You for any Pro Space subscription issue is limited to the greater of the (a) total amount You paid for that specific subscription in the preceding 12 months or (b) $100.
AERHUB IS NOT LIABLE FOR:
· Disputes between You and Pro Space Admins
· Pro Space Admin failure to deliver promised content
· Pro Space quality, accuracy, or usefulness
· Any indirect, consequential, or punitive damages
11. OBLIGATIONS BETWEEN PRO SPACE ADMIN AND SUBSCRIBER
In respect of every Pro Space Transaction:
· Acceptable Use: The Pro Space Admin and the Subscriber participating in the Pro Space Transaction agree to comply at all times with the Aerway Acceptable Use Policy in relation to the Relevant Content, including when accessing, viewing, and interacting with it, and acknowledge that certain products, services, and business models may not be eligible for Pro Space monetization under that policy (including the “Prohibited Businesses for Pro Space Monetization” section), even if related Content may otherwise be permitted on the Platform. Payment Obligation: The Subscriber participating in the Pro Space Transaction agrees to make the Subscriber Payment required to access, view, or interact with the Relevant Content, and agrees not to initiate a chargeback other than if the Subscriber disputes the Pro Space Transaction in good faith
· Content Delivery: The Pro Space Admin participating in the Pro Space Transaction agrees to make the Relevant Content available to the Subscriber once the Subscriber has made the Subscriber Payment applicable to the Relevant Content
· Rights and Permissions: The Pro Space Admin warrants that it possesses all necessary rights in and to the Relevant Content sufficient to license it to the Subscriber, and has obtained any and all permissions and consents needed to grant the license in Section 6 of these Subscriber Terms
· Content Creation: The Pro Space Admin is solely responsible for creating and uploading the Relevant Content, and the Space Admin provides no guarantees that it will continue to create and upload Relevant Content on an ongoing basis
· Risk Assumption: Unless there has been negligence or other breach of duty by the Pro Space Admin, the accessing by the Subscriber of the Pro Space Admin's Content is entirely at the Subscriber's own risk
· Aviation Safety: For Pro Spaces containing aviation-related Content, Pro Space Admins warrant that all safety-critical information is accurate and compliant with applicable aviation regulations. Subscribers acknowledge that aviation Content is for educational purposes only and should not be relied upon for flight operations without verification from official sources
12. NO GUARANTEES
The Subscriber participating in the Pro Space Transaction acknowledges that Space Admins may add and remove Content at any time from their Pro Space, and that Space Admins have the discretion to decide what sort of Content to make available in their Pro Space.
In addition, the Subscriber participating in the Pro Space Transaction acknowledges that there may be circumstances where it is not possible for the Subscriber to access the Relevant Content to be provided under the Pro Space Transaction, including:
· If the Pro Space Admin's account is suspended or deleted
· If the Subscriber's account is suspended or deleted
· If the availability of all or any part of the Aerway platform is suspended or inaccessible
· If the Pro Space Admin is unable to create or upload Relevant Content in the future
· If the Pro Space is removed by Aerhub for policy violations
· If technical issues prevent Content delivery
Aerhub makes no guarantees or warranties about the quality, accuracy, completeness, or availability of Content provided by Pro Space Admins. Subscribers assume all risk related to accessing and relying on such Content.
13. TERMS RELATING TO DISPUTES
If there is a dispute between a Pro Space Admin and a Subscriber relating to a Pro Space Transaction or these Subscriber Terms, the Pro Space Admin and Subscriber agree that Aerhub, Inc., is under no obligation to become involved and that Aerhub will not be held liable for any such dispute.
Aerhub is not liable for the relationship between the Pro Space Admin and the Subscriber, and Aerhub will not provide legal advice regarding such matters. Disputes must be resolved directly between the Pro Space Admin and Subscriber.
14. DISCLAIMER OF WARRANTIES
PRO SPACE CONTENT AND SUBSCRIPTIONS ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. AERHUB DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
AERHUB DOES NOT WARRANT THAT:
· Content will be available at all times or will meet Subscriber expectations
· Pro Space Admins will continue to produce Content
· Content is accurate, complete, or suitable for any particular purpose
· The Pro Space will remain active or accessible
15. MODIFICATIONS
Aerhub may modify these Subscriber Terms at any time. Material changes will be communicated to active Subscribers via email or platform notification at least 30 days before taking effect. Continued use of Pro Spaces after changes take effect constitutes acceptance of the modified Subscriber Terms.

17. GOVERNING LAW
Unless the Pro Space Admin specifies a different governing law in a separate written agreement with the Subscriber, the subscription relationship between the Space Admin and the Subscriber, including any Pro Space Transaction and these Subscriber Terms as between those parties, will be governed by the laws of the State of Arizona, without regard to its conflict of law principles.
